1. Acceptance of Terms

By accessing or using AntCDN's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms apply to all users, including organizations, developers, and end-users who access content delivered through AntCDN.

2. Description of Services

AntCDN provides video content delivery network (CDN) services, including but not limited to:

  • Video upload and transcoding
  • Adaptive bitrate streaming via HLS
  • Global content delivery through edge networks
  • Video analytics and usage reporting
  • API access for programmatic video management
  • Caption generation and management
  • Thumbnail generation
  • Share link generation

3. Account Registration

3.1 Account Creation

To use AntCDN, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including API keys and signing keys. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Types

AntCDN offers different subscription tiers with varying features and usage limits. Your access to specific features depends on your subscription plan.

4. Acceptable Use Policy

4.1 Permitted Use

You may use AntCDN to store, process, and deliver video content that you own or have the right to distribute.

4.2 Prohibited Content

You may not upload, store, or distribute content that:

  • Infringes on intellectual property rights of others
  • Contains child sexual abuse material (CSAM)
  • Promotes terrorism or violent extremism
  • Contains malware, viruses, or malicious code
  • Violates applicable laws or regulations
  • Harasses, threatens, or defames others
  • Contains personally identifiable information without consent

4.3 Prohibited Activities

You may not:

  • Attempt to gain unauthorized access to AntCDN systems
  • Interfere with or disrupt the Services
  • Use the Services to conduct denial-of-service attacks
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Resell or redistribute the Services without authorization
  • Circumvent usage limits or billing mechanisms
  • Use automated systems to abuse API rate limits

5. Content Ownership and Rights

5.1 Your Content

You retain all ownership rights to the video content you upload to AntCDN. By uploading content, you grant AntCDN a limited license to store, process, transcode, and deliver your content as necessary to provide the Services.

5.2 AntCDN Property

The AntCDN platform, including its software, APIs, documentation, and trademarks, remains the property of AntCDN. These Terms do not grant you any rights to use AntCDN's intellectual property except as necessary to use the Services.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant AntCDN the right to use and incorporate such feedback without compensation or attribution.

6. Billing and Payment

6.1 Pricing

AntCDN's pricing is based on usage metrics including video minutes delivered, storage consumed, and encoding minutes used. Current pricing is available on our website and may change with 30 days notice.

6.2 Payment Terms

Charges are billed monthly in arrears based on actual usage. Payment is due within 30 days of invoice. Late payments may result in service suspension.

6.3 Taxes

Prices exclude applicable taxes. You are responsible for paying all taxes associated with your use of the Services, except for taxes based on AntCDN's income.

6.4 Refunds

Usage-based charges are non-refundable once incurred. Prepaid credits may be refunded at AntCDN's discretion for unused balances upon account termination.

7. Service Level Agreement

7.1 Uptime Commitment

AntCDN targets 99.9% uptime for content delivery services, measured monthly. This excludes scheduled maintenance and force majeure events.

7.2 Service Credits

If monthly uptime falls below 99.9%, eligible customers may request service credits according to the following schedule:

  • 99.0% - 99.9%: 10% credit
  • 95.0% - 99.0%: 25% credit
  • Below 95.0%: 50% credit

Credits must be requested within 30 days and apply to future invoices only.

8. Data Protection and Security

8.1 Security Measures

AntCDN implements industry-standard security measures including encryption in transit and at rest, access controls, and regular security audits.

8.2 Data Processing

AntCDN processes data in accordance with our Privacy Policy. For customers subject to GDPR or similar regulations, we offer Data Processing Agreements upon request.

8.3 Data Retention

Video content is retained until you delete it or terminate your account. Upon account termination, content is deleted within 30 days unless legally required to retain it longer.

9. Termination

9.1 Termination by You

You may terminate your account at any time through the dashboard or by contacting support. You remain responsible for charges incurred prior to termination.

9.2 Termination by AntCDN

AntCDN may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay invoices when due
  • Upload prohibited content
  • Engage in fraudulent activity

We will provide notice before termination except in cases of egregious violations requiring immediate action.

9.3 Effect of Termination

Upon termination, your access to the Services ceases. Content may become inaccessible immediately. You may request a data export within 30 days of termination.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AntCDN does not warrant that the Services will be uninterrupted, error-free, or completely secure. You use the Services at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANTCDN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

ANTCDN'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ANTCDN IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless AntCDN and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Services
  • Content you upload or distribute
  • Your violation of these Terms
  • Your violation of any third-party rights

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.2 Arbitration

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware.

13.3 Class Action Waiver

You agree to resolve disputes with AntCDN on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

14. Changes to Terms

AntCDN may modify these Terms at any time. We will provide notice of material changes via email or through the dashboard. Continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and AntCDN.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

15.3 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.4 Assignment

You may not assign these Terms without AntCDN's consent. AntCDN may assign these Terms in connection with a merger, acquisition, or sale of assets.
